UNIFIELD GROUP LLC - OFFSHORE IT TALENT PLACEMENT AGREEMENT
  
By clicking "Agree" below, Unifield Group, LLC (“Unifield”) 
and testbinesh ("Employer") acknowledge and agree to the terms and conditions set forth below:
 
WHEREAS, Unifield specializes in the identification and placement of offshore IT talent for U.S. companies; and
 
WHEREAS, Employer employs or contracts with IT firms to provide IT programming services from qualified individuals and desires to review resumes and contact information for candidates provided by Unifield who meet Employer's requirements for hire or contract;
 
1. Placement Services: Unifield agrees to provide Employer with resumes and contact information for candidates who fit Employer's stated requirements.
 
2. Placement Fee: Employer agrees to pay Unifield a lump sum fee of $2,000 (two thousand U.S. dollars) for each candidate provided by Unifield who is hired,contracted or retained by Employer.
 
3. Conditions for Payment: The placement fee as mentioned will only be payable if the Employer or its contractor retains the candidate. "Retains" means that the Employer has formally offered a position to the candidate, and the candidate has accepted and commenced employment with the Employer.
 
4. Payment Terms: Payment is due within thirty (30) days of the candidate’s start date with the Employer. Invoices unpaid after this period will accrue interest at the rate of 1.5% per month or the highest rate permitted by applicable law, whichever is lower.
 
5. Confidentiality: Employer agrees to keep all resumes and contact information confidential and not to disclose them to any third party without the written consent of Unifield.
 
6. Termination: This Agreement may be terminated by either party upon written notice if the other party breaches any material term or condition of this Agreement.
 
7. Dispute Resolution In the event of a dispute between the parties it shall be tendered for resolution through third party neutral mediation and, if unsuccessful, through binding, confidential arbitration.
